IMPORTANT: Please read these Terms and Conditions carefully before enrolling in any program offered by Zama Institute. By completing enrolment and submitting payment, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions. If you do not agree, do not proceed with enrolment.
1. Definitions and Interpretation
1.1 In these Terms and Conditions, the following definitions apply:
“We”, “us”, “our” or “Zama Institute” means EMPRA Pty Ltd ATF The EMPRA Trust (ABN [INSERT]) trading as Zama Institute, including zamayoga.com.au and zamainstitute.com.
“You” or “Student” means the individual who has enrolled in, or is seeking to enrol in, a Program.
“Program” means any teacher training course, short course, workshop, online module, or other educational product offered by Zama Institute.
“Course Materials” means all written, digital, audio, and visual content provided to you in connection with a Program, including manuals, videos, audio recordings, workbooks, and any associated software or platforms.
“Commencement Date” means the date of your enrolment for online-only programs, or the date of the first in-person workshop for hybrid programs, whichever is earlier.
“Enrolment Fee” means the total fee payable for a Program as specified at the time of enrolment.
“Licensee” means a third-party organisation authorised by Zama Institute to offer and sell enrolments in Programs on its behalf pursuant to a licence agreement.
1.2 A reference to a person includes a corporation, trust, partnership, or other entity. Headings are for convenience only and do not affect interpretation.
2. Acceptance of Terms
2.1 These Terms and Conditions constitute a legally binding agreement between you and Zama Institute. By completing payment or otherwise commencing a Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with any Program-specific requirements published on our website.
2.2 If you are enrolling on behalf of another person, you represent and warrant that you have authority to bind that person to these Terms and Conditions and accept personal liability for compliance.
2.3 We reserve the right to update these Terms and Conditions at any time without prior notice. The version in force at the time of your enrolment governs your enrolment. Updated versions will be published on our website.
3. Enrolment and Eligibility
3.1 Zama Institute reserves the right, at our absolute discretion, to refuse or cancel enrolment of any applicant at any time and for any reason, including where we reasonably consider that the applicant does not meet the prerequisites or is unlikely to successfully complete the Program.
3.2 Course entry requirements and prerequisites are specified on the relevant Program page. It is your sole responsibility to verify that you meet all mandatory prerequisites before enrolling. If you enrol without holding the required prerequisites, you do so at your own risk and you will not be entitled to a certificate of completion, and no refund will be payable.
3.3 All Programs are delivered in English. You are responsible for ensuring that your language proficiency is sufficient to meet all Program requirements.
3.4 Enrolment is personal to you and is non-transferable except in accordance with clause 17 (Course Transfers).
4. Enrolment Through Authorised Licensees
4.1 Zama Institute authorises certain Licensees to offer and sell enrolments in Programs on its behalf, pursuant to a separate licence agreement between Zama Institute and the Licensee.
4.2 If you have enrolled in a Program through a Licensee, you acknowledge and agree that:
- your payment of the Enrolment Fee is made to the Licensee, not to Zama Institute, and Zama Institute is not a party to and bears no responsibility for the payment transaction between you and the Licensee;
- your enrolment in the Program and your access to Course Materials is subject to Zama Institute receiving confirmation of your enrolment from the Licensee and, where applicable, payment of the applicable licence fee by the Licensee to Zama Institute;
- these Terms and Conditions govern your participation in the Program in full, regardless of any separate terms, representations, or agreements between you and the Licensee; and
- any dispute relating to the payment of the Enrolment Fee or the Licensee’s conduct is a matter between you and the Licensee and must be directed to the Licensee in the first instance.
4.3 Zama Institute requires, pursuant to its licence agreement with each Licensee, that the applicable licence fee be remitted to Zama Institute in full prior to a student commencing a Program where the student has paid the Licensee in full upfront. Accordingly:
- (a) if you have commenced your Program having paid the Licensee in full, Zama Institute has received the applicable licence fee and your access to Course Materials will not be affected by any subsequent insolvency or default of the Licensee;
- (b) if you are paying the Licensee by way of an instalment plan and the Licensee becomes insolvent or ceases to trade, you may apply to transfer your remaining payment plan obligations directly to Zama Institute by notifying us in writing at info@zamayoga.com.au. Zama Institute will honour the remaining instalment schedule on the same terms as agreed with the Licensee, provided that:
- you supply written evidence of the instalments paid to date and the remaining schedule; and
- Zama Institute is reasonably satisfied that the amounts paid to the Licensee to date correspond to licence fees remitted by the Licensee to Zama Institute in respect of your enrolment;
- (c) if you have paid the Licensee in full but have not yet commenced your Program and the Licensee becomes insolvent or fails to remit the licence fee to Zama Institute, Zama Institute is not obligated to honour your enrolment but will use reasonable endeavours to contact you and may, at its discretion, offer you direct enrolment on terms it considers fair in the circumstances; and
- (d) to the extent the Licensee has collected instalments from you that have not been remitted to Zama Institute, your remedy for those amounts is against the Licensee and any applicable consumer protection or insolvency process.
4.4 Zama Institute does not make any representations regarding the Licensee’s business, solvency, or fitness to offer the Program, and is not liable for any loss suffered by you arising from the Licensee’s acts or omissions, including failure to remit fees, misrepresentation, or cessation of the Licensee’s business.
4.5 The Course Materials, intellectual property, and all other rights in the Program remain the property of Zama Institute regardless of the channel through which you enrolled. Your licence to access Course Materials under clause 9 is granted by Zama Institute directly and is not contingent on any ongoing relationship between Zama Institute and the Licensee, except as provided in clause 4.3.
5. Fees, Payment, and Payment Plans
5.1 The Enrolment Fee is as specified on our website at the time of your enrolment. All fees are quoted in Australian dollars (AUD) and are inclusive of any applicable GST.
5.2 Full payment of the Enrolment Fee (including all instalments under a payment plan) must be received by Zama Institute prior to the issuance of any certificate of completion.
5.3 Where you elect to pay by instalments, payments are due on a monthly basis on the dates specified in your payment plan. A payment plan does not reduce your total financial obligation; all instalments remain payable in full regardless of whether you complete the Program.
5.4 If any payment is declined or fails, you will be notified by email and will have fourteen (14) calendar days to rectify the outstanding payment. If payment is not received within that period, we may, without further notice, suspend your access to Course Materials and cancel your enrolment. No refund will be payable upon such cancellation.
5.5 Any bank, transaction, or payment processing fees are your sole responsibility and will not be deducted from the Enrolment Fee.
5.6 We reserve the right to engage a third party debt collection agency to recover any outstanding amounts. You agree to indemnify Zama Institute for any reasonable costs of recovery, including collection agency fees and legal costs on a solicitor-client basis.
6. Withdrawal and Refund Policy
6.1 Cooling-Off Period — Programs $1,000 AUD and Over
If you wish to withdraw from a Program with an Enrolment Fee of $1,000 AUD or more, and you provide written notice of withdrawal to info@zamayoga.com.au within seven (7) calendar days of the date of your enrolment, you will be entitled to a refund of fees paid, less:
- a non-refundable deposit equivalent to one (1) monthly instalment amount calculated by reference to the payment plan applicable to your Program at the time of enrolment;
- a payment reversal or processing fee of $10 AUD;
- $150 AUD per course manual received by you (whether in digital or hard copy format); and
- the full cost of any mentoring sessions completed prior to the date of withdrawal.
6.2 Programs Under $1,000 AUD — No Refund
No refund applies to any Program with an Enrolment Fee under $1,000 AUD under any circumstances, including change of mind, illness, or inability to complete the Program.
6.3 Withdrawal After Seven Days — No Refund
No refund will be payable where written notice of withdrawal is received more than seven (7) calendar days after the date of enrolment. All outstanding payments under a payment plan remain due and payable in full. We reserve the right to pursue any outstanding amounts by way of debt recovery.
6.4 Procedure for Withdrawal
All withdrawal requests must be submitted in writing by email to info@zamayoga.com.au. Withdrawal is not effective until acknowledged by Zama Institute in writing. Upon cancellation, access to all online Course Materials and platforms will be revoked.
Note: These refund terms apply in addition to any rights you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms and Conditions excludes, restricts, or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded by agreement.
7. Health, Safety, and Participation
7.1 Physical exercise, including yoga, Pilates, barre, and related movement modalities, involves inherent risks of physical injury or harm. By enrolling in a Program, you acknowledge these inherent risks and accept them voluntarily.
7.2 You represent and warrant that:
- you are in suitable physical and mental health to participate in the Program;
- you have obtained, or will obtain no later than two (2) months prior to your Commencement Date, appropriate medical advice from a qualified healthcare provider regarding your suitability to participate; and
- you will immediately cease participation and seek medical advice if you experience pain, dizziness, breathlessness, or any other symptom of concern during the Program.
7.3 Zama Institute is not a medical, health, or therapeutic service provider. Course Materials are created for educational purposes only and do not constitute medical advice, diagnosis, or treatment recommendations. Nothing in any Course Material should be relied upon as a substitute for independent professional medical advice.
7.4 Exercise instruction must be carried out within your professional scope of practice at all times. If at any point a client begins to feel faint, dizzy, or experiences physical discomfort, you must direct them to stop immediately and consult a qualified healthcare provider.
7.5 Medical and scientific research is continually evolving. Zama Institute does not warrant that Course Materials reflect the most current research, findings, or clinical practice at any given time.
8. Intellectual Property
8.1 All intellectual property rights in and to the Course Materials, website content, online platforms, verbal presentations delivered by trainers, and any associated software are and remain the exclusive property of Zama Institute (or its licensors), whether or not adapted, authored, or customised for individual Students.
8.2 Subject to clause 8.3, Zama Institute grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Course Materials solely for the purpose of completing your enrolled Program. This licence does not constitute a transfer of any intellectual property rights.
8.3 You must not, without the prior written consent of Zama Institute:
- copy, reproduce, republish, upload, post, broadcast, transmit, or distribute any Course Materials;
- modify, adapt, translate, disassemble, decompile, or reverse engineer any Course Materials or associated software (except to the extent expressly permitted by law);
- record, whether in audio or video format, any online or in-person Program session;
- share your login credentials or access to Course Materials with any other person;
- use the Course Materials in the development, delivery, or promotion of any other course or training program; or
- remove, alter, or obscure any copyright, trademark, or other proprietary notice from the Course Materials.
8.4 Any breach of this clause 8 will, at our election, constitute grounds for immediate termination of your enrolment and licence without refund, and may give rise to a claim for damages. We expressly reserve all rights and remedies in relation to any such breach.
9. Permitted Use of Website and Downloadable Materials
9.1 You are permitted to download one copy of any downloadable Course Materials made available through our website or learning management system for personal, non-commercial, and temporary use in connection with completing your Program.
9.2 This permission does not constitute a transfer of title or any intellectual property right. You must not use downloaded materials for any commercial purpose, public display, or in any manner inconsistent with clause 8.
9.3 The licence granted under this clause will be automatically revoked upon any breach of these Terms and Conditions.
10. Disclaimer of Warranties
10.1 To the maximum extent permitted by applicable law (including the Australian Consumer Law), Zama Institute makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy, with respect to the Course Materials, website content, or any Program.
10.2 We do not warrant that:
- the Course Materials are complete, accurate, current, or free from error;
- access to our website or online learning platform will be uninterrupted, timely, or error-free; or
- any particular outcome (including industry accreditation, employment, or competency) will result from completion of a Program.
10.3 Where any law implies a warranty or guarantee that cannot be excluded, our liability for breach of that warranty or guarantee is limited, to the extent permitted by law, to re-supplying the relevant service or paying the cost of re-supply.
11. Limitation of Liability and Release
11.1 To the fullest extent permitted by law, Zama Institute, its officers, employees, contractors, agents, and representatives (collectively, the Released Parties) are not liable to you for:
- any direct, indirect, consequential, incidental, special, or punitive loss or damage;
- loss of profit, revenue, data, business opportunity, or goodwill;
- personal injury, illness, or death arising out of or in connection with your participation in any Program;
- any loss or damage arising from your reliance on Course Materials; or
- business interruption or loss of access arising from technical failures, platform outages, or circumstances beyond our reasonable control,
whether arising in contract, tort (including negligence), statute, equity, or otherwise, even if a Released Party has been advised of the possibility of such loss or damage.
11.2 You agree to release, indemnify, and hold harmless the Released Parties from and against all claims, demands, losses, costs (including legal costs on a solicitor-client basis), liabilities, and causes of action arising directly or indirectly out of or in connection with:
- your participation in any Program;
- your reliance on Course Materials;
- your breach of these Terms and Conditions; or
- any injury, illness, or harm suffered by you or any third party in connection with your participation.
11.3 Nothing in these Terms and Conditions excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable statute that cannot be excluded by agreement. This includes, for the avoidance of doubt, the consumer guarantees applicable to services set out in Part 3-2, Division 1 of the Australian Consumer Law.
Important: Because some jurisdictions do not allow the exclusion or limitation of liability for personal injury or consequential loss, some of the above limitations may not apply to you to the extent prohibited by law.
12. Course Completion Requirements
12.1 A certificate of completion will only be issued upon satisfaction of all of the following conditions:
- completion of 100% of the required course content within the applicable completion timeframe;
- submission of all assessments, practical assignments, and practice journals as required;
- a determination of competency by Zama Institute; and
- payment in full of the Enrolment Fee.
12.2 All Programs are competency-based. You may resubmit assessments until you are deemed competent. Zama Institute will provide feedback in writing where an assessment is determined to be incomplete or not yet competent.
12.3 Students are solely responsible for maintaining a complete record of all submitted assessments and practice journals. Zama Institute does not retain or provide copies of submitted assignments.
12.4 The applicable completion timeframes are as follows:
- 200hr Yoga Teacher Training: minimum 3 months, maximum 12 months from Commencement Date.
- 200–350hr Yoga Teacher Training Upgrade: minimum 3 months, maximum 12 months from Commencement Date.

- Yin Yoga Teacher Training: no minimum, maximum 12 months from Commencement Date.
12.5 Program-specific requirements for practice journals (including any requirements imposed by Yoga Australia or Physical Activity Australia) are set out in the relevant Program documentation and form part of the requirements for certificate issuance.
13. Extensions and Course Suspension
13.1 Course suspension is not available under any circumstances.
13.2 If you are prevented from completing a Program within the applicable timeframe due to extenuating personal circumstances (including, but not limited to, a medical emergency, prolonged illness, or bereavement), you may apply in writing to info@zamayoga.com.au for an extension of time. Your application must include appropriate supporting documentation (for example, a medical certificate or death certificate).
13.3 The granting of an extension for extenuating circumstances is at the absolute discretion of Zama Institute and is not guaranteed. We will endeavour to respond to extension applications within fourteen (14) calendar days.
13.4 Where extenuating circumstances do not apply, Zama Institute may, at its discretion, grant a paid extension of three (3) months for a fee of $150 AUD per extension period. Such extensions are granted on a case-by-case basis and are subject to application. Failure to complete the Program by the expiry of any extension period without valid reason may result in a formal failure of the Program.
14. Cancellation or Suspension by Zama Institute
14.1 Zama Institute reserves the right, without prior notice and at our absolute discretion, to:
- cancel any Program prior to its commencement, in which case a full refund of fees paid will be provided; or
- cancel or suspend your enrolment at any time for any of the following reasons: non-compliance with prerequisites; failure to maintain required attendance or engagement (where applicable); misconduct, harassment, or bullying of staff or other students; repeated or material breach of the Code of Conduct; prior misconduct (including conduct occurring in any previous program); any circumstance by which we reasonably consider you unfit to continue; or any other lawful reason.
14.2 Where we cancel your enrolment under clause 14.1(b), no refund will be payable, and any outstanding Enrolment Fee remains due and payable in full.
14.3 We are not liable for any incidental or consequential expenses incurred by you in connection with a cancellation, including travel, accommodation, or equipment costs.
15. Course Transfers
15.1 Online-only Programs: You may apply to transfer your enrolment from one online Program to another online Program at any time, subject to a transfer fee of $150 AUD. All fees paid towards your original enrolment will be credited to the transferred Program. If the transferred Program has a higher Enrolment Fee, you must pay the difference prior to commencement.
15.2 Programs with In-Person Workshops: Enrolment in a Program with in-person workshop components is not transferable to a different intake or cohort.
15.3 Cross-Program Transfers: Any request to transfer enrolment to a materially different Program must be submitted in writing to info@zamayoga.com.au. All transfers under this clause are subject to availability and the following conditions:
- Transfer requested 30 or more days before the commencement of the new Program: a transfer fee of $375 AUD applies. All other fees paid will be credited to the new Program.
- Transfer requested 29 days or fewer before the commencement of the new Program: a non-refundable deposit equivalent to $1,075 AUD is forfeited. Remaining fees paid will be credited to the new Program.
- Transfer requested after commencement: no transfer or credit is available once a Program has commenced.
15.4 If the new Program has a higher Enrolment Fee than the original, you must pay the difference. No refund or credit will be issued if the new Program has a lower Enrolment Fee.
15.5 All bank, transaction, and processing fees associated with a transfer are your sole responsibility.
16. Attendance at In-Person Workshops
16.1 No refund, credit, or make-up session is available for any missed workshop, regardless of the reason for absence or the amount of notice provided. Full payment is required in respect of all workshop sessions, including those you do not attend.
16.2 Due to the varying content and delivery schedules across different Program intakes, make-up sessions in alternative intakes cannot be arranged.
16.3 Attendance at in-person workshops is strongly encouraged but is not a formal graduation requirement, as equivalent online content and additional assessments are provided in lieu of in-person attendance. Applicable accreditation body requirements may differ; it is your responsibility to confirm requirements relevant to your professional registration.
17. Recognition of Prior Learning (RPL)
17.1 Recognition of Prior Learning (RPL) does not apply to any Program offered by Zama Institute.
18. Photography, Audio, and Video Recording
18.1 When you participate in any Zama Institute course, event, workshop, or campus activity (whether in person or, where recording occurs, online), you acknowledge that photography, audio recording, and video recording may take place.
18.2 By participating, you consent to Zama Institute’s use of any interview, photograph, audio recording, video recording, or digital image of you (or in which you appear) for any purpose connected with the promotion, marketing, or administration of Zama Institute’s programs and services, including use on our website, social media channels, and in print materials, without restriction as to duration or medium.
18.3 You waive any right to compensation, royalties, or right of approval in connection with any such use.
18.4 If you do not consent to being photographed or recorded, you must notify Zama Institute in writing prior to attending the relevant session or event. Zama Institute will use reasonable endeavours to accommodate your request where practicable, but cannot guarantee exclusion from all incidental recordings.
Note: Zama Institute handles personal information, including images and recordings, in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Please refer to our Privacy Policy at zamayoga.com.au/privacy-policy for further information.
19. Code of Conduct

19.2 In particular, you agree to:
- sign in to all workshops and classes as required;
- arrive punctually — entry is not guaranteed for late arrivals once a session has commenced;
- remain present for the full duration of each session, limiting departures to urgent matters;
- keep mobile phones and other devices on silent during in-person sessions;
- refrain from social conversation during structured class time and direct queries to the trainer as appropriate;
- treat all staff, trainers, and fellow students with dignity and respect; and
- approach your studies with a positive and open attitude.
19.3 Zama Institute will not tolerate conduct that is rude, insulting, offensive, harassing, or discriminatory towards staff or other students. Any such conduct may result in immediate removal from a session and/or cancellation of enrolment in accordance with clause 14.
20. Venue, Schedule, and Content Changes
20.1 Zama Institute reserves the right to modify the venue, date, time, format, or delivery mode of any Program or session at our reasonable discretion. Where a change to venue is required, we will use reasonable endeavours to notify enrolled Students promptly and to facilitate attendance at the alternate location.
20.2 Zama Institute may update, amend, or revise Course Materials at any time to reflect developments in the relevant field, regulatory changes, or improvements to Program quality. We are not obligated to maintain materials in the form in which they were provided at the time of your enrolment.
21. Accuracy of Materials and Website
21.1 Course Materials and website content may contain technical, typographical, or photographic errors. Zama Institute does not warrant the accuracy, completeness, or currency of any Course Material or website content and reserves the right to make corrections at any time without notice.
21.2 Any third-party websites linked from our website are provided for convenience only and do not constitute an endorsement by Zama Institute. Zama Institute accepts no responsibility for the content, accuracy, or availability of any linked site. Your use of any linked site is entirely at your own risk.
22. Educational Support and Assessment
22.1 Programs may incorporate a combination of in-person workshops, online modules, and independent study. All Programs are delivered in the English language.
22.2 You are expected to engage in home practice, independent reading, and online study as required for your Program. Teaching support will be provided during in-person workshops where available and appropriate.
22.3 The structure and requirements for assessments and assignments are clearly set out within each Program. Detailed submission instructions are provided within the learning platform.
23. Complaints
23.1 Zama Institute is committed to addressing student concerns fairly and promptly. If you have a complaint, please submit it in writing by email to info@zamayoga.com.au, including:
- your full name and enrolled Program;
- a clear description of the issue and the outcome you are seeking; and
- any relevant supporting documentation.
23.2 We will acknowledge receipt of your complaint within five (5) business days and will use reasonable endeavours to respond substantively within twenty (20) business days of receipt.
23.3 Where a complaint cannot be resolved to your satisfaction internally, you may seek assistance from a relevant external dispute resolution body or consumer protection authority in your jurisdiction.
24. Privacy
24.1 Zama Institute collects, uses, and discloses personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and our Privacy Policy published at zamayoga.com.au/privacy-policy.
24.2 By enrolling in a Program, you consent to the collection and use of your personal information for the purposes of administering your enrolment, delivering educational services, issuing certificates, communicating with you about our programs, and meeting our obligations to accrediting bodies (including Yoga Australia and Physical Activity Australia).
24.3 We will not disclose your personal information to third parties other than as set out in our Privacy Policy or as required by law.
25. Governing Law and Dispute Resolution
25.1 These Terms and Conditions are governed by and construed in accordance with the laws of Queensland, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Queensland for the resolution of any dispute arising under or in connection with these Terms and Conditions.
25.2 Before commencing any formal legal proceedings, you agree to notify Zama Institute in writing of the nature of the dispute and provide Zama Institute with twenty (20) business days to attempt to resolve the matter. This clause does not prevent either party from seeking urgent injunctive or declaratory relief from a court.
26. General Provisions
26.1 Entire Agreement: These Terms and Conditions, together with any Program-specific documentation and our Privacy Policy, constitute the entire agreement between you and Zama Institute with respect to your enrolment and supersede all prior representations, discussions, and agreements.
26.2 Severability: If any provision of these Terms and Conditions is held to be invalid, unlawful, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
26.3 Waiver: Our failure to enforce any provision of these Terms and Conditions does not constitute a waiver of our right to enforce that provision or any other provision in the future.
26.4 Assignment: Zama Institute may assign its rights and obligations under these Terms and Conditions to any successor entity or as part of a sale of business without your consent. You may not assign your enrolment or any rights under these Terms and Conditions without our prior written consent.
26.5 Force Majeure: We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to pandemic, natural disaster, government action, civil unrest, or technology failure. In such circumstances, we will use reasonable endeavours to reschedule or otherwise accommodate affected Students.
26.6 Notices: All notices from you to Zama Institute under these Terms and Conditions must be in writing and sent by email to info@zamayoga.com.au. We may communicate with you at the email address provided at the time of enrolment.
